Terms of Service

1. Agreement

These Terms of Service (the “Terms”) govern your access to and use of the ShowRouter platform, APIs, and related services (the “Service”), operated by ShowRouter (“we”, “us”). By creating an account, minting an API key, or otherwise using the Service, you agree to these Terms on behalf of yourself and the organization you represent.

2. What ShowRouter is

ShowRouter is booking and matching infrastructure connecting live entertainment and attractions with fairs, festivals, and events. We provide discovery, matching, routing, deal management, contracting, and messaging tools. We are a neutral marketplace and technology provider. We are not a party to any engagement, offer, hold, or contract formed between organizations using the Service, and we do not act as an agent, employer, promoter, or booking agent for any organization.

3. Accounts and organizations

Organizations, not individual users, own offerings, events, and deals on the Service. You are responsible for the accuracy of the information your organization publishes, for maintaining the confidentiality of credentials and API keys, and for all activity that occurs under your organization’s account. Notify us promptly of any unauthorized use.

4. API keys and automated agents

API access is governed by risk tiers granted per key: read, write_low, communicate, and commit. You are responsible for the actions any agent or key you provision takes, including offers, holds, and signatures executed at the commit tier. You must not exceed the rate limits published for your key, attempt to circumvent tier restrictions, or use the Service to send unsolicited bulk communications.

5. Offers, holds, and contracts

The Service records offers, counters, holds, and electronically signed contracts between organizations. An engagement is an agreement solely between the participating organizations. You are responsible for reviewing every term before accepting an offer, placing or releasing a hold, or signing a contract. Electronic signatures made through the Service are intended to be binding between the signing parties; you represent that anyone signing on your organization’s behalf has authority to do so.

6. Discovered and unclaimed profiles

To keep the marketplace useful, the Service may include organization and event profiles built from public information and clearly marked as discovered or unclaimed. Such information is never presented as owner-provided, and every discovered field carries its source. If a profile represents your organization, you may claim it or request its removal at any time. 7. Acceptable use

You agree not to:

• Misrepresent your identity, authority, offerings, or availability;
• Scrape, resell, or redistribute other organizations’ data outside the Service;
• Interfere with, overload, or probe the Service or its security;
• Use the Service for any unlawful purpose or in violation of any third party’s rights.

8. Content and license

You retain ownership of the content your organization submits. You grant us a non-exclusive, worldwide license to host, process, and display that content solely to operate and improve the Service, including surfacing it to counterparties in the marketplace consistent with your visibility settings.

9. Reviews and reliability

Post-engagement feedback is private and structured, and feeds reliability metrics used in matching. Public testimonials are published only with the mutual explicit permission of both parties. You agree to provide feedback honestly and in good faith.

10. Fees

Core marketplace participation is free or low-cost; certain professional features may carry fees, which will be disclosed before you incur them. We do not take a commission on engagements formed through the Service.

11. Disclaimers

The Service is provided “as is” without warranties of any kind. We do not warrant that matches, routing calculations, availability, or counterparty information are accurate, complete, or that any engagement will be performed. Routing distances and match scores are estimates offered for convenience.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for any lost profits or revenues, arising out of your use of the Service or any engagement formed through it. Our total liability for any claim is limited to the greater of the fees you paid us in the twelve months preceding the claim or USD 100.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will survive.

14. Changes

We may update these Terms. Material changes will be posted here with a revised effective date; continued use after changes take effect constitutes acceptance.
